1. Agreement to Terms

By accessing or using CHISPA ("Service"), operated by Holistic Quality, LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

CHISPA is an AI-powered fashion photography platform that generates professional model images for e-commerce, social media, and marketing purposes. Our Service uses artificial intelligence to create fashion photography based on user-provided inputs.

The Service includes:

• AI-generated fashion model photography
• Multiple style options (Studio, Street, Editorial, etc.)
• Credit-based usage system
• Commercial usage rights for generated images
• Creator partnership program (separate agreement required)

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or other users
• Extended inactivity (90+ days)

4. Credits and Payments

4.1 Credit System

Our Service operates on a credit-based system. Each image generation consumes 1 credit. Credits can be purchased through our website.

4.2 Free Credits

New users receive 10 free credits upon account creation. Free credits are non-transferable and expire 90 days after issuance.

4.3 Pricing and Payment

• All prices are in USD
• Payments are processed through Stripe
• Credits are non-refundable once purchased
• Purchased credits do not expire
• We reserve the right to change pricing with 30 days notice

4.4 Refund Policy

Due to the nature of AI generation, credits are generally non-refundable. However, we may issue refunds at our discretion for:

• Technical errors that prevent image generation
• Duplicate charges
• Unauthorized transactions (reported within 30 days)

5. Acceptable Use Policy

5.1 Permitted Uses

You may use generated images for:

• E-commerce product photography
• Social media marketing
• Website and blog content
• Digital advertising
• Brand marketing materials

5.2 Prohibited Uses

You may NOT use the Service to create or generate:

• Sexually explicit, pornographic, or adult content
• Content depicting minors in any context
• Violent, hateful, or discriminatory imagery
• Content that infringes on third-party rights
• Deepfakes or deceptive imagery of real people
• Content for illegal purposes
• Misleading political or election content
• Medical or health misinformation
• Spam or malicious content

5.3 Enforcement

Violation of this Acceptable Use Policy may result in immediate account termination without refund. We reserve the right to monitor usage and remove content at our discretion.

6. Intellectual Property Rights

6.1 Ownership of Generated Images

You own the rights to images you generate through the Service. Upon generation and payment of applicable credits, you receive full commercial usage rights to the generated images.

6.2 License Granted to You

We grant you a perpetual, worldwide, non-exclusive, royalty-free license to use, modify, reproduce, display, and distribute images you generate through the Service for commercial purposes.

6.3 CHISPA Platform Rights

All rights in the CHISPA platform, including but not limited to software, design, logos, and branding, remain the exclusive property of Holistic Quality, LLC. You may not copy, modify, or reverse engineer the Service.

6.4 User-Uploaded Content

By uploading content to the Service (e.g., fashion items for photography), you grant us a limited license to:

• Process your uploads to generate images
• Store uploads temporarily for generation purposes
• Use anonymized/aggregated data to improve our AI models

We do NOT claim ownership of your uploaded content and will not use it for purposes beyond generating your requested images.

7. AI-Generated Content Disclaimer

Important Notice: All images generated through CHISPA are created by artificial intelligence. They do not depict real people unless specifically trained on a consenting creator's likeness through our Creator Partnership Program.

You acknowledge and agree that:

• AI-generated images may have imperfections or artifacts
• Quality may vary based on inputs and prompts
• We make no guarantees about specific outcomes
• You are responsible for reviewing images before publication
• You must disclose AI-generated content where required by law or platform policies

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We do not guarantee uninterrupted, error-free, or secure access
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the past 12 months
• We are not responsible for how you use generated images

9. Indemnification

You agree to indemnify and hold harmless Holistic Quality, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your uploaded content
• Your use of generated images

10. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of your data as described in the Privacy Policy.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@getchispa.com to attempt informal resolution.

11.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in English.

11.3 Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Holistic Quality, LLC regarding the Service.

12.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

12.3 Assignment

You may not assign these Terms without our written consent. We may assign our rights at any time.
